Escrow arrangements: stages and deadlines
An escrow arrangement for an IP licence runs through five stages: instruction, deposit, verification, holding and release. Each stage carries its own deadline, fixed by the escrow agreement rather than by any single external timetable. In practice, the full cycle from instruction to release takes between two weeks and several months, depending on how many parties must confirm delivery and how complex the deposited material is.
Why the timeline matters
A licence that relies on escrow usually ties payment, exclusivity or termination rights to the moment of release. Missing an internal deadline at the verification stage does not void the licence, but it can shift the point at which the licensee's rights actually start. Where the licensed material includes a database, an audit is often prepared before deposit, and that step alone can add several weeks — see how How database rights audit ownership of results documents to prepare for it.
Stages
| Stage | Who acts | Typical deadline |
|---|---|---|
| Instruction | Licensor and licensee jointly | Before the licence takes effect |
| Deposit | Licensor, through the escrow agent | Fixed calendar date or milestone in the agreement |
| Verification | Escrow agent, sometimes with a technical reviewer | 5–20 business days, by agreement |
| Holding | Escrow agent | Until a release trigger occurs |
| Release | Escrow agent, on instruction or by trigger | Immediate once the trigger is confirmed |
What to prepare
- List every asset going into escrow — source code, documentation, keys, records. The licensor prepares this list.
- Agree the release triggers in writing before deposit. Both parties sign off, not the escrow agent.
- Appoint a named escrow agent and confirm their verification method. The licensee should request a sample check.
- Set a verification deadline with a defined consequence for missing it. The agreement, not the agent, fixes this.
- Confirm who bears the escrow agent's fee and when it is paid. This is agreed between the parties, not set by the agent.
Where the deposited material is a tokenised asset, the escrow record does not replace the underlying on-chain record tokenised rights; the two are checked against each other at verification.
Who decides and where
The escrow agent decides whether a release trigger has occurred, based strictly on the wording of the agreement. If the parties disagree about whether a trigger occurred, the dispute goes to whichever forum the licence names — usually arbitration or the courts specified in the governing-law clause. The escrow agent does not adjudicate that dispute; it holds the deposit until instructed or until a court or tribunal rules.
If your situation differs
If the licence covers a trade mark application still under review, the release date can move independently of escrow, because filing deadlines run on their own clock — this is close to the issue described in A celebrity name blocks the filing trade mark the deadline that matters.
If one party stops responding at the verification stage, the agreement's own default clause governs, not general contract rules. If there is no default clause, the release is delayed until the dispute forum intervenes.
If the escrow agent itself fails to act on a valid trigger, the remedy sits in the escrow agreement, separately from the licence.
What this page does not cover
This page does not cover the pricing of escrow services, tax treatment of deposited assets, or personal data included in deposited files. If a report or audit names you personally, see If you are named in a report: your rights. It also does not cover co-ownership disputes that arise before escrow is set up.

FAQ
How long do escrow arrangements take in practice?
Typically two weeks to several months, driven mainly by how quickly verification is completed.
Which documents are needed to start?
An asset list, a signed escrow agreement with release triggers, and the escrow agent's verification method.
What happens if the other side does not respond?
The agreement's default clause governs; without one, release stalls until the named dispute forum intervenes.
