Opposition settlement: documents to prepare

Settlement closes an opposition before a decision issues, once both sides sign an agreement and the opponent withdraws its opposition. To reach that point, the applicant needs a signed settlement or coexistence agreement, proof that the signatory holds authority to bind the party, and a formal withdrawal request. The office then closes the file; costs already incurred are not refunded.

Where settlement sits in the opposition timeline

Most oppositions open with a cooling-off period. That window exists precisely so the parties can talk before either side spends money on evidence and arguments. Settlement reached during cooling-off is the cheapest exit: no submissions have been filed, no fee for extending the deadline has been paid twice over, and the withdrawal is a short formality.

Settlement remains possible after cooling-off ends, during the adversarial stage, and even after a hearing has been scheduled. What changes is not whether settlement is allowed — it always is — but how much has already been spent preparing arguments that the settlement then makes irrelevant. A settlement signed the week before a decision issues still closes the case; it simply arrives later than it needed to.

Documents to prepare

The paperwork splits into three groups: the agreement itself, proof that each side can sign it, and the procedural filing that tells the office the dispute has ended.

DocumentPurposePrepared by
Settlement or coexistence agreementSets out the commercial terms: use restrictions, class limitations, territory, sometimes a licence backBoth parties, usually drafted jointly
Power of attorney or corporate authorityConfirms the signatory can bind the company to the agreementEach party for itself
Withdrawal of oppositionFormal notice to the office that the opponent no longer pursues the caseOpponent or its representative
Amendment to the application, if agreedNarrows the goods or services list where the settlement requires itApplicant
Confidentiality clause, if wantedKeeps commercial terms out of the public file; the withdrawal itself stays publicBoth parties

A coexistence agreement is not a licence, though the two are sometimes confused. A coexistence agreement lets both marks continue in parallel under agreed limits. If the terms instead permit one side to use the other's mark under conditions, the drafting resembles the kind of indemnity clause found in commercial contracts more broadly — the logic is close to what we set out in Indemnity technology contract explained, even though the underlying right here is a trade mark rather than a technology licence.

Authority documents matter more than parties expect. An opposition can settle commercially and still stall procedurally, because the person who signed the agreement had no mandate to withdraw the case on the company's behalf. Confirm signing authority before the agreement is finalised, not after.

Who decides, and how long it takes

The opposition division does not approve the commercial terms of a settlement. Its role is narrower: it receives the withdrawal, checks that it comes from the opponent or a properly authorised representative, and closes the file. It does not review whether the settlement is fair, whether the price agreed between the parties is adequate, or whether the coexistence terms make commercial sense.

StageTypical durationWho acts
Negotiation during cooling-offRuns alongside the standard cooling-off periodBoth parties
Drafting the agreementDays to a few weeks, depending on complexityBoth parties, usually with counsel
Filing the withdrawalSame day as signature, in practiceOpponent's representative
Office confirmation of closureAdministrative, no substantive reviewOpposition division

Where an extension of the cooling-off period has already been used, no further extension follows automatically. Settlement can still happen after that; it simply happens against the clock of the adversarial phase rather than inside a paused one.

Scenarios

If the parties agree terms but one side is a subsidiary and the parent company holds the mark, get the authority document from the entity that actually owns the right, not the entity that negotiated. Signing by the wrong company is a common cause of a withdrawal being rejected as defective.

If the earlier mark on which the opposition is based is itself under separate challenge — for instance a cancellation action — settlement can still proceed, but the parties should record what happens to the agreement if the earlier right later falls away. The logic mirrors the question addressed for parallel proceedings generally in Stay pending validity: a decision-maker facing two open questions at once usually wants clarity on which one governs the other.

If the mark in dispute also functions as an identifier for a digital asset — a token name or symbol tied to an issuance — check whether settlement terms affect how that asset is described to a trading venue. Changes on that side move independently of the opposition; see What changed in listing conditions token issuance for how such changes are typically triggered.

If the other side does not respond to a settlement proposal at all, the opposition simply continues on the standard procedural track. Silence has no separate legal consequence; it just means the file keeps moving toward a decision on the merits.

What this page does not cover

This page describes the mechanics of closing an opposition by agreement. It does not value the underlying dispute, does not draft the commercial terms of a coexistence arrangement, and does not tell you whether settling is the better move compared with continuing to a decision — that depends on the strength of each side's position, which this page cannot assess in the abstract.

It also does not cover what happens to assets connected to the mark once a dispute of this kind is resolved. Where a trade mark sits inside a broader asset structure — for example, alongside other registered or unregistered rights held by the same company — the starting point for mapping what actually exists is different from mapping a single dispute. Asset in Sweden explained sets out what that kind of stocktake can and cannot establish.

FAQ

How long does settlement of an opposition take in practice?
Negotiation can run the length of the cooling-off period or longer. Once terms are agreed, filing the withdrawal and closing the file takes days, not weeks.

Which documents are needed to start?
A draft settlement or coexistence agreement, confirmation of who has authority to sign for each side, and, once terms are final, a withdrawal of the opposition.

What happens if the other side does not respond?
Nothing procedural. The opposition continues on its ordinary track toward a decision, because the office does not chase settlement on the parties' behalf.
