Escrow set-up: documents to prepare

Escrow set-up for a technology contract needs four document sets: the tripartite agreement, a list of deposit materials, release trigger criteria and a verification plan. Preparing all four before the first draft goes out shortens the process. Most set-ups close within four to eight weeks once the parties agree the escrow agent.

What changes once escrow starts

Once the tripartite agreement is signed, the deposit becomes a standing obligation, not a one-off task. The licensor must update the deposit on the agreed schedule, and the agent holds the licensee's right to request release. Missing an update does not void the agreement, but it weakens the licensee's position if release is ever triggered. The point of no return sits at signature: after that, changing the trigger list or the update cadence needs a formal amendment, not an email.

What to prepare

The table below lists the documents by stage. Some are drafted by the licensor, some by the licensee, and the escrow agent supplies its own standard forms.

Prepare the material list first. Agents will not quote a fee schedule without knowing the volume and format of what is being deposited.

Steps in order

  1. Legal team confirms the agent and requests its standard terms.
  2. Technical team compiles the list of source code, scripts and documentation to deposit.
  3. Legal team drafts the tripartite agreement, naming the agent, the licensor and the licensee.
  4. Both sides agree the release triggers and write them into the agreement.
  5. Agent schedules a verification test once the first deposit arrives.
  6. Licensor sets a recurring calendar entry for deposit updates.

Who decides and how long it takes

The escrow agent decides whether a deposit is complete and verifiable; it does not decide whether a release trigger has occurred. That decision sits with whichever forum the main licence agreement names for disputes — usually arbitration or the courts stated in that contract. Verification typically takes one to two weeks after the first deposit. The full set-up, from first draft to signed tripartite agreement, runs four to eight weeks depending on how quickly the parties agree the trigger list.

Common branches

If the licensee needs escrow to satisfy an internal security policy rather than a contractual request, the trigger list is usually shorter and verification happens once a year rather than at deposit. If the licensor operates from several jurisdictions, each product line may need a separate deposit rather than one combined file — mixing products under one trigger list creates disputes about which part of the code the trigger actually covers. If the escrow agent or either party sits outside the jurisdiction named in the main contract, confirm which court or arbitration body actually has standing before signing, not after a trigger event.

Limits of this overview

This page does not cover escrow agent fees, agent selection criteria, or how a national insolvency process treats a deposited file once a trigger fires. It also does not cover cross-border complications when the escrow agent, the licensor and the licensee sit in three different countries. If the licensor entity is registered in Spain, a separate check is often needed before signing: Counterparty in Spain and what to prepare. If the deposit documentation itself needs authentication in Belgium, see Document in Belgium explained.

FAQ

How long does escrow set-up take in practice?

Four to eight weeks from first draft to signed tripartite agreement, plus one to two weeks for the first verification test.

Which documents are needed to start?

A list of the materials to deposit, the agent's standard terms, and an agreed draft of the trigger list. Without these three, drafting the tripartite agreement cannot begin.

What happens if the other side does not respond?

The set-up stalls at whichever stage the response was needed. There is no automatic deadline; the party waiting should set its own follow-up date and record it, since a stalled set-up leaves the deposit obligation unresolved rather than cancelled.

Next step

Escrow questions often surface alongside other unregistered-rights problems in the same contract. If that applies here, see What to do first in this situation in detail.
